Terms of Service

The agreement

These terms are a contract between you and Lexi d.o.o., Zagreb, Croatia. They apply when you use lexi.hr or the Lexi platform. If your company signed a separate written agreement with us, that agreement wins wherever the two disagree.

By creating an account or using the product, you accept these terms. If you are accepting on behalf of a company, you confirm that you are authorised to do so.

Accounts

• One person per accountCredentials are personal. Do not share them, and tell us promptly if they are compromised.
• Accurate detailsKeep your account and billing information current.
• Administrator controlYour company's administrator can add, remove, and audit users, and can access content created in the workspace.

Acceptable use

Use Lexi for legitimate business communication. Do not use it to:

• Break the lawIncluding fraud, harassment, or anything that infringes someone else's rights.
• Deceive peopleImpersonating a person or organisation, or generating deliberately misleading claims.
• Attack the serviceProbing, scraping, reverse engineering, or overloading the platform or its models.
• Resell itMaking the service available to third parties as your own product, unless we have agreed to it in writing.
• Upload sensitive dataSpecial category personal data, credentials, or payment card numbers.

We may suspend access if use of the service puts the platform, its data, or other customers at risk. Where we can, we will tell you first.

Ownership

Yours. You keep all rights to the content you put into Lexi, and to your brand materials and data. We claim no ownership over them.

Ours. We keep all rights to the Lexi platform, its models, its training corpus, the BE Score methodology, and everything else we built. Nothing in these terms transfers that to you.

Generated text

Text that Lexi drafts for you is yours to use, edit, and publish. Because it is generated, two things follow.

First, similar prompts can produce similar text for different customers, so we cannot promise the output is unique. Second, you are responsible for what you send: review every draft before it reaches a customer, and check anything that carries a legal, financial, or regulatory claim.

Availability

We aim to keep the platform available and fast, and we publish maintenance windows in advance where we can. Enterprise agreements can include a service level commitment with specific uptime targets and remedies.

Occasional downtime, model provider incidents, and emergency maintenance are part of running software. Outside a signed service level agreement, we do not guarantee uninterrupted service.

Fees

• SubscriptionBilled as set out in your order, in advance, per the agreed period.
• TaxesPrices exclude VAT and other applicable taxes.
• Late paymentWe may suspend access if an invoice stays unpaid after written notice.
• ChangesWe will give at least 30 days' notice before a price change takes effect at your next renewal.

Term and termination

The agreement runs for the period in your order and renews unless either side gives notice. Either party may terminate for material breach that stays unfixed 30 days after written notice.

On termination you can export your content. We delete it within 30 days, except where law requires us to keep records.

Warranties

We warrant that we provide the service with reasonable skill and care, and that we have the right to license it to you. Beyond that, and to the extent the law allows, the service is provided as is, without implied warranties of merchantability or fitness for a particular purpose.

Liability

Neither party is liable for indirect or consequential loss, lost profits, or lost data beyond what these terms provide. Our total liability in any 12-month period is capped at the fees you paid in that period.

Nothing here limits liability that cannot be limited by law, including for death, personal injury, or fraud.

Changes

We may update these terms. For material changes we will give at least 30 days' notice by email or in the product. Continuing to use Lexi after that means you accept the new version.

Governing law

These terms are governed by Croatian law. Disputes go to the competent court in Zagreb, unless your signed agreement says otherwise.
